General
These Terms and Conditions apply to all commercial services and construction work provided by CJV Associates (hereinafter referred to as "the Company") to any individual, entity, or organization (hereinafter referred to as "the Client").
No other terms, statements, or promises not contained in these Terms and Conditions or written into a specific contract shall be binding on the Company.
Scope of Work
The Company shall carry out work exclusively as specified in the service agreement or project contract signed by the Client. Any modifications or additional tasks requested by the Client will require a new agreement or an amendment to the existing agreement.
Quotations and Estimates
All quotations and estimates provided by the Company are valid for a period of 30 days from the date issued. The Company reserves the right to amend or retract a quotation or estimate should underlying conditions change.
Payment Terms
Payment is due upon receipt of invoice. Invoices will be issued on the day of service delivery or completion of the specified work phase.
Late payments will incur a late payemnt charge of £25 per working day the payment is not made.
Client Obligations
The Client agrees to provide all necessary access, information, and permissions that may be required to complete the services or construction work.
Failure by the Client to comply with these obligations may result in delays for which the Company shall not be liable.
Liability
The Company shall not be liable for any indirect, special, or consequential damages arising out of or in connection with the services provided.
The total liability of the Company under these Terms and Conditions shall not exceed the total sum paid by the Client for the services or work performed.
Force Majeure
The Company is not liable for any delay or failure in performance caused by circumstances beyond its reasonable control (e.g., natural disasters, government restrictions, wars, insurrections).
Termination
Either party may terminate the contract with immediate effect if the other party breaches these Terms and Conditions and does not remedy such breach within 30 days of written notification.
Termination under this clause shall not affect any rights or remedies that have accrued as at the date of termination.
Intellectual Property
All intellectual property rights derived from the services or construction work shall remain the property of the Company, unless otherwise agreed in writing.
Confidentiality
Each party agrees to keep any and all information disclosed between the parties confidential and to use it only for purposes directly related to the execution of the contract.
Dispute Resolution
Any disputes arising from or related to the agreement shall first be attempted to be resolved through mutual negotiation
If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration under the rules of the Arbitration Association of Scotland.
Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Scotland. The parties agree to submit to the exclusive jurisdiction of the Scottish courts.
